Cooperatives

Registration, by-laws, governance, member disputes, and representation of cooperatives in court.

Cooperatives are owned and run by their members, and they are governed by the Cooperative Code and CDA rules. We assist cooperatives and their officers in staying compliant and in resolving disputes.

How we can help

  • Registration and amendment of articles of cooperation and by-laws
  • Board resolutions, policies and general assembly matters
  • Compliance with CDA requirements
  • Disputes among members, officers and the board
  • Collection cases for the cooperative
  • Representing cooperatives in court and before the CDA

How it usually proceeds

  1. Review. We review the cooperative's documents and the issue at hand.
  2. Conciliation and mediation. Disputes among members, officers and directors generally must first go through the conciliation or mediation process in the cooperative's by-laws.
  3. Arbitration or court. If unresolved, the dispute may proceed to voluntary arbitration under CDA rules, or to the proper court or agency, depending on the issue.
  4. Resolution. We work toward a resolution that protects the cooperative and its members.
